How to Prepare a Petroleum Wholesale Licence Application: An Evidence Checklist

A petroleum wholesale licence application is not only a completed form. It is an evidence package that must explain who the applicant is, what petroleum activity is proposed, how the business will operate and why the supporting documents belong to the same commercial model.

The Department of Mineral and Petroleum Resources publishes DMPR-38 as the wholesale licence application form. The exact documents required must be checked against the current form, guidelines and the facts of the application. The checklist below is a practical preparation framework rather than a replacement for official requirements.

1. Applicant entity and ownership

Start with the legal person that will hold the licence. Company records, ownership information and identity documents should be current and consistent.

Typical preparation items include:

  • Company registration documents
  • Current directors and registered-office information
  • Shareholding and beneficial-ownership information
  • Identity documents and contact details
  • Tax and banking information where required
  • Resolutions or mandates authorising the application

A common problem is using one entity in the application while agreements, bank records or commercial correspondence refer to another entity.

2. Products and intended activity

The application should clearly identify the petroleum products the business intends to trade and the nature of the transactions.

Define:

  • Product types
  • Typical transaction quantities
  • Target customer sectors
  • Geographic market
  • Whether deliveries are direct, ex-depot or arranged through a transporter
  • Whether storage is owned, leased or accessed through a third party

The operating description should be specific enough for the evidence to be tested against it.

3. Market and customer evidence

A credible application needs more than a statement that fuel is in demand. The applicant should show that it understands the proposed market and has identified realistic customers.

Useful evidence may include:

  • Customer discussions or expressions of interest
  • Letters of intent, where genuine
  • Offtake assumptions supported by customer profiles
  • Sector analysis for mining, agriculture, logistics, construction, manufacturing or other target markets
  • Competitor and route-to-market analysis
  • Sales pipeline information

Documents should never be fabricated merely to satisfy a checklist. Weak or inconsistent market evidence can damage credibility.

4. Supply arrangements

The business must understand where product will come from and on what commercial basis. A supply document should be checked for the correct parties, products, term, payment structure and practical loading arrangements.

Questions to test include:

  • Is the supplier appropriately licensed?
  • Which products are available?
  • Where will loading take place?
  • What are the minimum order quantities?
  • When must payment be made?
  • Who carries price, quality and delivery risk?
  • Does the agreement match the applicant’s stated business model?

5. Storage or loading access

Not every wholesale model requires the applicant to own a depot, but the product-flow arrangement must still be coherent. Where storage or depot access is relied upon, the evidence should identify the facility, capacity, products, access conditions and relationship between the parties.

A generic letter that does not explain usable capacity or access terms may be insufficient for commercial planning, even if it appears formal.

6. Transport and insurance

The application and business plan should explain how fuel will move safely and lawfully. Where a third-party transporter is used, review:

  • Transport agreement
  • Vehicle and operator compliance
  • Goods-in-transit and liability cover
  • Loading and delivery procedures
  • Proof-of-delivery controls
  • Loss, contamination and incident responsibilities

Transport is not a minor operational detail. It is part of the transaction and risk model.

7. Financial capacity and business plan

Fuel trading can require substantial working capital because suppliers may require payment before customers settle their invoices. The financial model should test volumes, margins, delivery costs, overheads, VAT and the cash-conversion cycle.

Prepare:

  • Startup-cost estimate
  • Monthly operating budget
  • Sales-volume assumptions
  • Gross-margin assumptions
  • Working-capital calculation
  • Funding sources
  • Cash-flow forecast
  • Downside or sensitivity analysis

High turnover does not automatically mean the business is adequately funded.

8. Publication and submission control

The official process includes submission to the relevant regional office and publication of an application notice when directed by the Department. The applicant must provide proof of publication.

Maintain a controlled application file containing:

  • Final signed form
  • Supporting-document index
  • Submission proof
  • Departmental correspondence
  • Publication instructions and proofs
  • Requests for further information
  • Responses and updated documents

Use a pre-submission quality review

Before lodging, compare every major statement in the application with the supporting documents. Names, dates, addresses, products, quantities and commercial roles should align.
